These Terms of Service (the “
Terms”) govern your access to and use of the Medical Innovation Expo website, application portal, events, and related services (collectively, the “
Services”). By accessing or using the Services, you agree to be bound by these Terms and our
Privacy Policy. If you do not agree, do not use the Services.
1) Eligibility & Accounts
- You must meet the published competition eligibility criteria (e.g., medical student or resident enrolled in a U.S. institution) to apply.
- You represent and warrant that all information you provide is accurate and complete and that you have authority to submit materials on behalf of your team.
- We may deny or revoke access to the Services as permitted by law, including for suspected misuse or violation of these Terms.
2) Fees & Refunds
Application fees are non-refundable, regardless of the outcome of the application or competition, except where a refund is required by applicable law.
3) Submissions & Intellectual Property
- Your Ownership: As between you and us, you retain all right, title, and interest in and to your ideas, inventions, and content submitted through the Services (“Submissions”).
- License to Us: You grant Medical Innovation Expo and its judges, advisors, contractors, sponsors, mentors, and service providers a worldwide, non-exclusive, royalty-free license to host, store, view, reproduce, and otherwise use Submissions solely for: (i) receiving, reviewing, and evaluating applications; (ii) administering the competition; (iii) showcasing finalists/winners; and (iv) promoting the competition and its outcomes at a high level without disclosing your trade secrets.
- Confidentiality Disclaimer: The website and application portal are not a repository for trade secrets. Do not submit information you deem highly confidential or patent-sensitive without appropriate protections. Any separate MNDA/waiver or program agreement will govern to the extent of any conflict with these Terms.
- Third-Party Rights: You represent and warrant that your Submissions do not infringe or violate any third-party rights and that you have obtained all necessary permissions.
4) Program Documents; Conflicts
Official program materials—such as competition rules, eligibility criteria, waivers/releases, and FAQs (collectively, the “Program Documents”)—form part of your agreement when you apply. In the event of a conflict between these Terms and the Program Documents, the Program Documents control for program-specific matters.
5) Prohibited Conduct
- Interfering with the operation or security of the Services; attempting unauthorized access.
- Uploading malware or unlawful, defamatory, obscene, or infringing content.
- Using automated means (bots/scrapers) except as expressly permitted in writing.
6) Third-Party Services
The Services may integrate or link to third-party platforms (e.g., video hosting, payment processing). Your use of third-party services is governed by those providers’ terms and privacy policies.
7) Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PARTICIPATION IN THE COMPETITION DOES NOT GUARANTEE FUNDING, COMMERCIALIZATION, PARTNERSHIPS, REGULATORY CLEARANCES, OR ANY PARTICULAR OUTCOME.
8) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDICAL INNOVATION EXPO, ITS OWNERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, ADVISORS, JUDGES, MENTORS, SPONSORS, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR USE. IN ALL EVENTS, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT OF THE APPLICATION FEE PAID (IF ANY), EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
9) Indemnification
You agree to defend, indemnify, and hold harmless Medical Innovation Expo and its owners, affiliates, officers, directors, employees, advisors, judges, mentors, sponsors, contractors, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your Submissions; (c) your violation of these Terms or the Program Documents; or (d) your violation of any rights of another party.
10) Force Majeure
We will not be liable for any delay or failure to perform due to events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, epidemics/pandemics, governmental actions, or Internet/utility outages.
11) Dispute Resolution; Arbitration; Class Action Waiver; Jury Trial Waiver
Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration will be conducted in the State of Texas, in English, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
Class and Representative Action Waiver. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Jury Trial Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WE WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS.
Injunctive Relief. Notwithstanding the foregoing, either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction in the State of Texas to protect its rights pending arbitration.
12) Governing Law; Venue
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Subject to Section 11, the exclusive venue for any permitted court action will be in state or federal courts located in Texas, and you consent to personal jurisdiction there.
13) Changes to the Services or Terms
We may modify the Services or these Terms at any time. Material changes will be indicated by updating the Effective Date above. Your continued use after changes take effect constitutes acceptance of the updated Terms.
14) Survival
The provisions of these Terms relating to indemnification, limitation of liability, confidentiality disclaimers, dispute resolution (including arbitration, class action waiver, and jury trial waiver), and any other provisions which by their nature should survive, shall survive termination or expiration of these Terms.
15) General
- Severability: If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
- Assignment: You may not assign or transfer these Terms without our prior written consent; we may assign these Terms as permitted by law.
- No Relationship: These Terms do not create a partnership, joint venture, agency, or employment relationship.
- Notices: Notices to us must be sent to contact@medinnovationexpo.com.
- Entire Agreement: These Terms, together with the Program Documents and our Privacy Policy, form the entire agreement relating to the subject matter hereof.
